Foreign Company License in Saudi Arabia

Introduction:
With the development of the Saudi economy and the opening of doors for foreign investment as part of Vision 2030, establishing foreign companies in the Kingdom of Saudi Arabia has become increasingly attractive to investors from around the world. However, before starting any business activity, foreign companies must obtain the necessary license from the relevant authorities. This article outlines the steps and requirements for obtaining a foreign company license in Saudi Arabia.

1. Determining the Type of Business Activity
Before applying for a license, the foreign company must determine the type of business activity it intends to conduct. The business activity must be permitted under Saudi laws and align with the activities specified in the Foreign Investment Law.

2. Registering with the General Authority for Investment (Ministry of Investment)
Initial Registration:
Submitting a License Application: The foreign company must submit a license application to the General Authority for Investment (currently the Ministry of Investment). The application can be submitted through the ministry’s electronic portal.
Required Documents:
Company’s Articles of Association: This includes the articles of association of the parent company.
Board Resolution: A resolution from the board of directors to establish a branch or subsidiary in Saudi Arabia.
Power of Attorney: A legal power of attorney for the legal representatives who will handle the licensing procedures in Saudi Arabia.
Financial Statements: Typically, audited financial statements of the parent company for a specified period are required.
Preliminary Approval:
After submitting the application and documents, the authority reviews the request. If the documents are complete and comply with Saudi regulations, preliminary approval is granted.
3. Registering the Company with the Ministry of Commerce
After obtaining approval from the General Authority for Investment, the company must register with the Ministry of Commerce:
Registering the Trade Name: A trade name must be chosen for the company and registered.
Drafting the Articles of Incorporation: The company’s articles of incorporation must be drafted, detailing the company’s capital, partners’ names, objectives, and management.
Notarizing the Articles: The articles of incorporation must be notarized by a notary public.
Obtaining the Commercial Registration:
After registering the trade name and drafting the articles of incorporation, an application can be submitted to obtain the commercial registration, allowing the company to operate legally in Saudi Arabia.
4. Obtaining Other Necessary Licenses
Depending on the Type of Business Activity:
Municipal License: Some activities require obtaining a license from the municipality, especially if the business involves establishing buildings or offices.
Sector-Specific Licenses: Certain activities require licenses from specific regulatory bodies, such as the Capital Market Authority if the company operates in the financial sector, or the Communications and Information Technology Commission if it operates in telecommunications.
5. Registering the Company with Other Authorities
Registration with Zakat, Tax, and Customs Authority:
After obtaining the commercial registration, the company must register with the General Authority of Zakat and Tax (ZATCA).
Opening a Bank Account:
A commercial bank account must be opened for the company in a local bank to facilitate financial transactions.
Registration with the General Organization for Social Insurance (GOSI):
The company must register with GOSI if it plans to hire employees.
6. Complying with Legal and Tax Requirements
Ongoing Obligations:
Zakat and Taxes: The foreign company must comply with submitting periodic zakat and tax returns in accordance with local regulations.
Financial Reporting: Annual audited financial statements must be submitted to the Ministry of Commerce and the General Authority for Investment.
Compliance with Labor Laws:
The company must adhere to labor laws in Saudi Arabia, including Saudization laws, which require a certain percentage of Saudi nationals to be employed.
Conclusion:
Obtaining a license for a foreign company in Saudi Arabia requires following specific procedures, including registration with the General Authority for Investment and the Ministry of Commerce, as well as obtaining other necessary licenses depending on the type of business activity. Adhering to these procedures and requirements ensures the legal and smooth operation of the business, enhancing the chances of successful investments in the Kingdom’s promising business environment.
