For a business operating in Saudi Arabia, the UAE or Syria, a Chief Legal Officer connects legal advice with management decisions. The title does not by itself establish signing authority, local professional licensing, or a requirement for every company to appoint that role. Responsibilities depend on the entity, its activities, internal delegations and the law governing each matter.
What does the role coordinate?
- Contracts: identify commercial priorities, review material obligations and record who may approve departures from standard terms.
- Governance: organize decision records, delegations and escalation to the appropriate decision maker.
- Disputes: preserve evidence, track deadlines and present the options and information gaps before litigation or settlement decisions.
- External advice: assign a defined question to counsel with the relevant jurisdiction and subject expertise.
Separate advice, approval and execution
A legal review may identify a liability limit or an unclear payment trigger. Management then decides whether the commercial arrangement is acceptable within its authority, while the responsible team implements the agreed changes. Recording these separate tasks avoids treating a lawyer’s review as approval of every operational, financial or technical assumption.
A useful matter register records the country, parties, responsible person, next deadline, outstanding documents and decision required. Sensitive documents need appropriate access controls. The register should support action rather than become a substitute for reading the underlying contract or court notice.
Working with external counsel
Agree the scope, deliverable, fee, timing and communication arrangements before work starts. A contract review, a written opinion and representation in proceedings are different assignments. For cross-border operations, identify which entity is the client and which country’s requirements are being examined. Local representation must be arranged through appropriately licensed partners and lawyers under the agreed engagement.
Preparing the first review
Provide the corporate documents, authority matrix, major contracts and a list of current disputes or upcoming decisions. State the immediate objective: improving contract approval, organizing legal work, or assessing a particular transaction. The resulting work plan should identify priorities, assumptions and responsibilities without promising that every risk can be removed.
